Applicability

These general terms and conditions (the “Terms”) apply to every offer made by TALK360 GROUP B.V. trading under the name: Talk360 (“Talk360”) and to every contract that has been realized between Talk360 and user (the “User”) using the mobile application Talk360 (the “Software”), purchasing Talk360 Credits, Talk360 Credit Vouchers, or with regard to the mobile telecommunication services or mobile top-up provided by Talk360 (the “Services”). The Terms will be provided electronically.

Talk360 may make changes to these Terms from time to time. Talk360 will publish the changes at Terms and Conditions | Talk360. Changes to these Terms will be effective when published. We recommend reviewing the Terms on a regular basis.

By accepting our Terms and conditions, you also accept our privacy statement as published at Privacy Policy | Talk360. Changes to this Privacy Statement will be effective when published. We recommend reviewing the Privacy Statement on a regular basis. Our privacy statement is in line with the General Data Protection Regulation (GDPR) act which is effective in the EEA from May 2018. Where applicable, Talk360 will also process personal data in accordance with POPIA for Users in South Africa.

If you do not agree to the Terms of Service, you may not activate or use the Services nor Software. Once accepted the Terms of Service constitute a binding agreement between you and Talk360. In addition, by downloading the App from Appstore or Google Play, you agree to the applicable terms of the license of Apple and Google which will bind you.

Definitions

“App” means
the Talk360 mobile application and any related software or updates provided by Talk360 (also referred to in these Terms as the “Software”).

“Services” means the services made available by Talk360 through the App, including (i) Talk360 international calling services and (ii) Shop360 mobile top-up distribution services.

“Talk360 Credit” or “Credit” means a prepaid stored-value balance (wallet balance) that the User purchases or redeems in advance and can use within the App to pay for Services. Talk360 Credit is not a loan, credit facility, overdraft, or the extension of credit by Talk360, and does not accrue interest.

“Wallet” means the in-App account where Talk360 Credit is held and from which it may be redeemed for Services.

“Talk360 Credit Voucher” or “Credit Voucher” means a voucher (including a PIN) with a stated monetary value that may be redeemed to load that value into the User’s Wallet as Talk360 Credit.

“Mobile Top-Up” means a prepaid airtime, data, or bundle product purchased for a recipient on a supported mobile network in a destination country.

“Shop360 Services” means Talk360’s mobile top-up distribution services under which Talk360 facilitates the purchase and transmission of Mobile Top-Ups, acting as a distribution agent for independent third-party partners and/or mobile network operators.

“Provider” means a third party whose services are required for or connected to the Services, including international carriers, termination partners, internet service providers, and local telecom or mobile operators.

“User” means any person who downloads, accesses, or uses the App and/or purchases or redeems Talk360 Credit, a Credit Voucher, or any Services.

“GDPR” means the General Data Protection Regulation (EU) 2016/679, to the extent applicable.

“POPIA” means South Africa’s Protection of Personal Information Act 4 of 2013, to the extent applicable.

“Force Majeure Event” means any event beyond Talk360’s reasonable control that prevents or materially delays performance of the Services.

The Offer and Contractual Relationship

If an offer of Talk360 is subject to a limited period of validity or is made subject to conditions, this will be explicitly mentioned in the offer.

Talk360 Credit Voucher PINs, offered by Talk360 or third-party resellers, should be redeemed within three (3) years after issuance of the Credit Voucher.

When redeemed, the stated monetary value of the Credit Voucher is loaded into the User’s Talk360 wallet.

The wallet balance may then be used in whole or in part to purchase Talk360’s international calling services or Mobile Top-Up (Shop360) Services, at the User’s discretion.

The value of redeemed wallet credit is treated as normal Talk360 Credit which may be used for Talk360 calling or Shop360 purchases of Mobile Airtime Top-up.

For the avoidance of doubt, the purchase of a Talk360 Credit Voucher itself does not constitute the purchase of any goods or services.

In accordance with applicable VAT principles (including section 10(18) of the South African VAT Act), VAT—if applicable—is determined and accounted for only upon redemption of the credit, depending on the service selected.

This approach applies globally unless superseded by local tax law.

The offer contains a complete and accurate description of the Services being offered. The description is sufficiently detailed to enable the User to make a proper assessment of the offer. Talk360 is not bound by obvious errors or mistakes in the offer.

Every offer contains information that makes it clear to the User what rights and obligations are related to the acceptance of the offer.

The contractual relationship between Talk360 and the User with respect to the purchase of Credit (see Clause 5) is subject to the terms set out in the offer at the time the User accepts the offer and fulfils its conditions. Upon successful purchase and redemption of a Credit Voucher, Talk360 will immediately increase the User’s Credit balance.

Neither Talk360 nor any third parties provide any warranty or guarantee as to the accuracy, timeliness, performance, completeness, or suitability of the information and materials found or offered on the website and in the Software for any particular purpose. Any such information and materials may contain inaccuracies or errors for which Talk360 accepts no liability to the fullest extent permitted by law.

Third-Party Services

You understand that the availability and use of the Services rely on third-party services, including but not limited to international carriers, local termination partners, and your local telecom and mobile operators (each referred to as a “Provider”).

Some Providers may restrict or prohibit the use of Voice over Internet Protocol (“VoIP”) features or other elements of the Services and might impose additional charges related to their use. It is your responsibility to confirm with your mobile operator (or any other relevant Provider) whether the use of the Services is allowed under your contractual agreements with them, and to be aware of and cover any additional fees that may be applied. Please note that once your call is connected to a number provided by Talk360, your Provider may begin charging for the call, even if the receiver is unavailable or the line is busy.

With respect to Mobile Top-Up Services (Shop360 Services), Talk360 acts solely as a distribution agent for independent third-party partners that provide the underlying airtime, data, or bundle products. Once a Mobile Top-Up transaction is completed, Talk360 no longer has control over the prepaid airtime balance or plan. The terms and conditions of the recipient’s local mobile network operator will govern the recipient’s use of the prepaid airtime or plan.

In this context, Talk360’s role is limited to facilitating the purchase and transmission of the Mobile Top-Up Service. The sale of such Mobile Top-Ups may be deemed to occur outside the country of purchase for VAT purposes, as the supplier of the underlying airtime or data product is the third-party partner or operator. Talk360 is not liable for any issues caused by the local mobile network operator or its service conditions.

The Services

Talk360 makes available to the User the Software. The Software is required for the User to make use of the Services. Additional terms and conditions may apply in order for the User to download the Software.

In order to use the Software and the Services, the User will need an internet broadband connection (Wi-Fi or mobile data connection). Additional charges from an internet service provider or telecommunication provider may apply.

The Services include international calling services provided directly by Talk360 and mobile top-up services (Shop360 Services) distributed by Talk360 as agent for independent third-party partners.

Users may access these Services in two ways:

  • By redeeming Talk360 Credit — obtained through the purchase of a Talk360 Credit Voucher or by other top-up methods — and using the wallet balance to pay for the chosen Service; or
  • By purchasing Shop360 Services directly in the Talk360 App or website using an accepted payment method such as a credit or debit card, without first adding Talk360 Credit to the wallet.

Talk360 may from time to time provide updates to the Software or may change the Services at any time. The User may be required to update the Software in order to continue using the Software and the Services.

The Services do not include support to call emergency telephone numbers (such as 112, 911, or ambulance/doctor telephones). In addition, the Services do not include support to call premium and/or service numbers.

The User shall use the Software and the Services in accordance with the laws of The Netherlands and the laws of the country where the User is located. The User is under no conditions authorised to:

•          use any type of spider, virus, worm, trojan horse, time bomb or any other code or instruction designed to distort, delete, damage, emulate or disassemble the Software or the Services;

•          send unsolicited communications; and/or

•          impact or attempt to impact the availability of the Software or the Services.

In order to protect the interests of Users and ensure consumer protection, Talk360 reserves the right to block calls to specific numbers, groups of numbers, or certain countries either permanently or temporarily.

Talk360 Credit

In order to make use of the Services, the User may purchase or redeem Talk360 Credit (“Credit”).

For the avoidance of doubt, Talk360 Credit is prepaid value loaded by the User in advance and is not intended to be, and must not be interpreted as, the granting of credit or the provision of a loan.

Talk360 Credit represents a monetary balance that can be used within the Talk360 App to access Talk360’s international calling services or to purchase Mobile Top-Up (Shop360) Services for recipients in other countries.

Talk360 Credit can be obtained by:

• purchasing and redeeming a Talk360 Credit Voucher, or

• making a direct purchase using a supported payment method such as a credit or debit card, PayPal, or other means made available by Talk360.

The User is not entitled to any interest on unused Credit.

Talk360 may from time to time issue bonus or trial Credit for promotional purposes. Such bonus or trial Credit will be valid only for the limited period stated in the offer and will be subject to fair-use and other promotional conditions.

Using Talk360 Credit

Credit in the User’s wallet may be redeemed in whole or in part for:

• international calling, provided directly by Talk360; and/or

• Mobile Top-Up (Shop360) Services, distributed by Talk360 as agent for independent third-party partners who supply the underlying airtime, data, or bundle products.

For direct Shop360 purchases made with a card or other accepted payment method, the User may bypass the wallet entirely.

Specific terms and conditions applicable to Shop360 Services, including delivery, local operator taxes, and refund rules, are described in the Shop360 (Mobile Top-Up) Services section below.

Taxes

Taxes or value-added tax (“VAT”), if applicable, will be determined and applied in accordance with the tax laws of the relevant jurisdiction at the time the Credit is redeemed or the service is provided.

In certain destination countries, local operator taxes or fees beyond Talk360’s control may apply and will be deducted from the Top-Up value.

Credit Expiry and Inactivity

Purchased Talk360 Credit will have no fixed credit expiry period. Talk360 Credits will only expire in the event a user becomes inactive.

A User account will be considered inactive if no outbound calls or purchases of Talk360 Credit have been made for eighteen (12) months (365 days).

Talk360 will provide at least seven (7) days’ notice before marking a User inactive and expiring any remaining balance.

Auto-Recharge and One-Click Payments

Talk360 provides an optional auto-recharge feature.

If activated, the User’s Credit balance will be recharged automatically with the same amount and via the same payment method as when the feature was first enabled.

The User authorises Talk360 and its payment service provider to debit the User’s account accordingly.

The User may withdraw this mandate at any time by emailing support@talk360.com.

Talk360 will provide written advance notice of the amount due and the debit date at least twenty-four (24) hours before any SEPA direct debit is initiated.

A one-click payment option is also available for selected credit-card and PayPal payments.

Upon activation, the User authorises Talk360 and its payment service provider to charge the stored payment method when the payment button is clicked.

This feature may be withdrawn at any time by emailing support@talk360.com.

All automatic or one-click payments remain subject to the terms and conditions of Talk360’s payment service provider.

Prices

The standard rates and applicable denominations for Talk360 Services are listed on the Talk360 website and within the App.

Rates and service fees may be changed by Talk360 at any time without prior notice by publishing such changes online.

The new rates will apply once published.

Call durations are charged in one-minute increments, and fractions of a minute are rounded up to the next minute.

Talk360 may include a service fee in the total amount billed; this will not be listed separately.

If payment is made in a different currency, the exchange rate on the payment date will apply and a conversion fee may be charged.

All prices include taxes where applicable.

Shop360 (Mobile Top-Up) Services

Shop360 Services enable Users to purchase prepaid airtime, data, or bundle products (“Mobile Top-Ups”) for recipients on selected mobile networks in various destination countries.

These Top-Ups are supplied by independent third-party partners and mobile network operators. Talk360 acts solely as a distribution agent, facilitating the purchase and transmission of the Mobile Top-Up.

How Shop360 Works

Mobile Top-Ups may be purchased:

• using Talk360 Credit already loaded in the User’s wallet; or

• by paying directly with an accepted payment method (for example, credit or debit card, PayPal, or any other method available in the App or on the website).

Once a Mobile Top-Up transaction is confirmed, the value is sent to the recipient’s mobile operator for crediting to the recipient’s prepaid account.

Delivery times may vary depending on the destination country, network operator, or service conditions.

If a transaction cannot be completed, any reserved payment will be released, and the User will be notified of the outcome.

Users are responsible for ensuring that all recipient details (for example, phone number or other identifier) are accurate and complete.

Once a Mobile Top-Up request is confirmed, it cannot be changed or cancelled.

Transactions are final and non-refundable, except where required by law or where Talk360 determines that an error occurred on its side.

Pricing, Taxes, and Fees as applicable to Shop360

The total price shown at checkout includes all applicable fees and charges.

Talk360 may include a service fee in the total amount billed; this will not be listed separately.

In certain destination countries, local operator taxes or fees beyond Talk360’s control may apply and will be deducted from the Top-Up value.

Talk360 or its partners may impose limits on the number or total value of Top-Ups that can be purchased or received within a specific time period.

If payment is made in a different currency, the exchange rate on the payment date will apply and a conversion fee may be charged.

Rates and service levels may change from time to time; the latest information will be displayed in the App or on the website at the time of purchase.

Completion of the Shop360 Transaction

Once the Mobile Top-Up is accepted by the recipient’s mobile operator or processing hub, Talk360 no longer has control over the prepaid balance or plan.

Responsibility for the use, expiry, or quality of the Mobile Top-Up then rests with the mobile operator or service provider that supplied it.

If you believe a Mobile Top-Up has not reached the intended recipient, contact Talk360 Support immediately and provide payment and recipient details so that the transaction can be investigated.

Right of withdrawal

The User, whose actions are not carried out for objectives relating to the course of a trade, a profession or a business, has the right to dissolve the contract with Talk360, without giving reasons during a period of fourteen days after the day the contract with Talk360 was concluded. The right of withdrawal is not available to the User after the full completion of the services by Talk360.

The User who wants to exercise his right of withdrawal shall report this to Talk360, within the period of fourteen days after the day the contract was concluded, by means of the model form for right of withdrawal (by means of sending an email to support@talk360.com with the following details: “date the call credits were purchased”, “used payment method”, “mobile number / Account ID” and “name and address”).

The risk and the burden of proof for exercising the right of withdrawal correctly and in time rest upon the User.

If the User is refunded purchased credits, the balance outstanding will be deducted from the account of the User.

If the User exercises his right of withdrawal, the User shall owe Talk360 a sum of money that is equivalent to that proportion of the contract that Talk360 has fulfilled at the moment of withdrawal, in comparison with fulfilling the contract entirely.

No refunds shall be given for any promotional amounts and/or bonus credits given by Talk360.

Mobile Topup (Shop360) purchases are not eligible for refunds.

Repetitive refund requests from the same user would be refused.

Talk360 will reimburse the User within 14 days after the day on which the User reported the withdrawal with all payments. For any reimbursement, Talk360 will use the same payment method that was initially used by the User, unless the User agrees to another payment method.

All refund requests must be made within 90 days of a charge by Talk360 or payment to Talk360. After 90 days, all charges and payments are final and non-refundable.

For avoidance of doubt, this right does not apply to Mobile Top-Up Services once delivered or to promotional bonus Credit.

Contract fulfilment and guarantees

Talk360 guarantees the best availability of the service and, in the event of breakdowns, that these will be rectified as quickly as possible, in order to fulfil the contract and the specifications stated in the offer.

Talk360 aims to provide the User a trouble-free mobile telecommunication services through an internet broadband connection. The User is aware that an internet broadband connection is not universally available. Talk360 cannot guarantee that the Software and the Services will always function without disruptions, delay or errors. Various factors outside the control of Talk360 may impact the quality of the connection and the use of the Software and Services. Talk360 is not responsible nor liable for any disruption, interruption or delay of the Services.

The User who has discovered shortcomings in the Software and/or the Services must submit any complaints to Talk360 without delay, in full and with clear descriptions. A reply to complaints submitted to Talk360 will be provided within a period of 3 working days, calculated from the date of receipt of the complaint.

Deactivation

If the User does not fulfil their obligations towards Talk360, is in breach of these Terms and/or in the event of fraud or suspected fraud, Talk360 is entitled to (temporarily) deactivate the User’s account.

After deactivation of the User’s account, the User is not allowed to use the Software or the Services. Talk360 shall have no obligation to provide the Services towards the User. In the event that the User’s account is deactivated, Talk360 shall inform the User as soon as reasonably possible. The User is not entitled to any compensation after the deactivation of its account.

At the sole discretion of Talk360, Talk360 may reactivate the User’s account and Talk360 shall make the Services available to the User. Talk360 may charge the User with a reactivation fee.

Liability and indemnification

Talk360, to the extent legally permitted, is not liable for any loss, whether of money (including profit), goodwill, or reputation, or any special, indirect, or consequential damages arising out of the User’s use of, or inability to use the Software and/or the Services.

If Talk360 is found to be liable for whatever reason, Talk360’s liability to the User or any third party is limited to the greater of (a) the total fees the User has paid to Talk360 in the six (6) months prior to the action giving rise to liability, or (b) EUR 50.

Notwithstanding anything to the contrary in these Terms, the limitation of liability set forth in paragraph 10.1 and 10.2 above shall not apply to any claim for which liability cannot be limited under applicable law.

The User agrees to indemnify and hold harmless Talk360 and its affiliates, and each of their respective, directors, shareholders and employees from and against any and all claims, losses and/or damages arising from or relating to (i) the User’s breach of any of these Terms; (ii) the User’s breach of any applicable law or regulation or (iii) the User’s use of any Software and/or the Services.

The User shall notify Talk360 of any (potential) claim in writing as soon as possible after the damage is discovered or could have reasonably been discovered.

Personal data

Talk360 shall only process the personal data (including data regarding the use of the Services) obtained from the Users for the provision of the Services. Talk360 shall refrain from using the (personal) data for any other purpose than the provision of the Services.

Talk360 shall process any personal data in accordance with the General Data Protection Regulation (GDPR). Any personal data obtained by Talk360 shall not be kept for a period longer than is necessary for achieving the purposes for which the personal data were collected or subsequently processed. Call detail records (CDR’s) of a user will be saved for a period of 12 months to support questions from customers about their historic Talk360 call and payment history.

Talk360 will take suitable technical and organizational measures to secure the electronic transfer of any personal data and Talk360 will ensure a safe web environment.

Except as provided below, Talk360 will not sell, rent, trade or otherwise transfer any personal data outside of Talk360 without the User’s explicit permission, unless it is obliged to do so under applicable laws or by order of any competent authority.

Intellectual property rights

The Software contains proprietary and confidential information that is protected by intellectual property rights owned by or licensed to Talk360. Talk360 and/or its licensors retain exclusive ownership of the Software and all intellectual property.

The User is not allowed to use the (source code of the) Software for any other purpose than making use of the Services. The User shall not make any changes to the Software, decompile the Software and/or manipulate the Software. In the event of any unauthorized use of the Software by the User, the User shall be liable for all damages suffered by Talk360.

Talk360 is a registered trademark of TALK360 GROUP B.V. Talk360 has registered its trademarks in various countries worldwide. Without the prior written consent of Talk360, the User is not authorized to use Talk360’s trademarks and/or trade names.

Final Provisions

The rights and obligations of the User under the contract with Talk360 cannot be assigned or transferred except with the prior written approval of Talk360. Talk360 shall at any time be entitled to assign its rights and obligations under this Agreement to a third party.

All contracts entered into between Talk360 and the User are governed by Dutch law.

Any dispute between Talk360 and the User shall in first instance exclusively be submitted to the competent courts in Amsterdam, the Netherlands, unless another Dutch court is competent by virtue of mandatory law.

Force Majeure

You acknowledge and agree that if Talk360 is unable to provide the Services, or if the Services are delayed, as a result of a Force Majeure Event, Talk360 will not be in breach of any of its obligations towards you under the Terms of Service or otherwise for the duration of the Force Majeure Event. A Force Majeure Event includes, without limitation: acts of God (such as fire, flood, earthquake, or severe weather); pandemics or public health emergencies; war, terrorism, civil unrest, or riots; strikes or labour disputes; governmental actions or restrictions; power outages; and failures, interruptions, or congestion affecting telecommunications networks, internet access, app stores, payment systems, or other third-party services on which the Services rely. Talk360 will use reasonable efforts to mitigate the effects of the Force Majeure Event and to resume performance as soon as reasonably practicable.
